1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Heskarim LTD (trading as Agenttrix) ("we," "us," or "Company") concerning your access to and use of our website agenttrix.com and our AI automation services.

By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Services Description

Agenttrix provides AI automation services, including but not limited to:

• AI-powered workflow automation
• Business process optimization
• Custom AI agent development
• AI integration consulting
• Training and support services

The specific scope of services will be defined in individual service agreements or statements of work.

3. User Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

4. User Accounts and Registration

When you create an account or engage our services, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

5. Acceptable Use Policy

You agree NOT to use our services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, offensive, or illegal content
• Engage in fraudulent, deceptive, or misleading activities
• Interfere with or disrupt our services or servers

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality on our website and in our services, including but not limited to text, graphics, logos, software, and AI models, are owned by Heskarim LTD or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content, data, or materials you provide to us ("Your Content"). By providing Your Content, you grant us a limited, non-exclusive, royalty-free license to use, process, and analyze Your Content solely for the purpose of providing our services to you.

6.3 Deliverables

Upon full payment, you will own the custom deliverables created specifically for you as part of our services, subject to the terms of your service agreement. We retain ownership of our underlying technology, methodologies, and pre-existing intellectual property.

7. Payment Terms

Payment terms will be specified in your service agreement. General terms include:

• We accept payments via PayPal and Direct Bank Transfer
• All fees are quoted in USD unless otherwise specified
• Payment is due according to the schedule in your service agreement
• Late payments may incur interest charges and service suspension
• All fees are non-refundable unless otherwise stated in your agreement
• You are responsible for all applicable taxes, including VAT where applicable

8. Cancellation and Refunds

Cancellation and refund policies will be specified in your service agreement. Generally:

• You may cancel services according to the terms in your agreement
• Refunds, if applicable, will be processed within 14 business days
• Work completed prior to cancellation is non-refundable
• We reserve the right to terminate services for violation of these Terms

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives termination of services.

Confidential information does not include information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN YOUR SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We do not guarantee specific results or outcomes from our services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HESKARIM LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Heskarim LTD and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of our services, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) Your Content.

13. Term and Termination

These Terms remain in effect while you use our services. We may suspend or terminate your access to our services at any time for any reason, including violation of these Terms.

Upon termination, your right to use our services will immediately cease. Sections that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@agenttrix.com. We'll try to resolve the dispute informally by contacting you via email.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

14.3 Arbitration

Any disputes arising out of or related to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA), except where prohibited by law. You waive your right to a jury trial and to participate in class actions.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Heskarim LTD regarding our services
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect
• Waiver: No waiver of any term shall be deemed a further or continuing waiver
• Assignment: You may not assign these Terms without our prior written consent
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
